Our considerable tax knowledge and experience combined with practical business judgment works extremely well with our being a law firm for business. We guide our clients through complex transactions, often mergers and acquisitions, on a path that takes them to their economic goals while meeting the intricacies of the tax law. Our practical business sense enables us to counsel in most areas that relate to business, including financings from sources within and outside of the United States, executive compensation (including various forms of incentive equity plans and deferred compensation), financings derived from sources within and outside of the United States, and various forms of investment vehicles.
Many business organizations now operate as limited liability companies (“LLCs”) taxable as partnerships and we have increasingly worked in that area and drafted comprehensive operating agreements with many strata of participation. We have represented private equity and institutional investors or entrepreneurs operating through LLCs. These transactions have also involved a wide range of businesses including, among others, advertising media, restaurants and caterers, cattle ranching, bakeries, real estate, medical and health organizations, and entertainment facilities.
As a natural outgrowth of our corporate law and tax law expertise we have, over the years, counseled our clients in the creation and administration of tax-exempt organizations and in their estate plans.
